    Dell Officially Acquires Quest Software

    Like HP and other PC manufacturers in the post-iPhone tech era, Dell is hedging its bets by investing in software and security services.

    Today Dell announced its acquisition of Quest Software has been completed. Quest is an IT management software provider that offers systems, security, applications, and business intelligence services. Dell states that Quest offers “next-generation” virtualized and cloud environments that will be “highly complementary” to Dell’s scalable mid-market design approach.

    “The close of the Quest acquisition is a tremendous milestone in Dell’s journey to strengthen our end-to-end IT capabilities, empowering our customers to unlock greater value in their Dell technology investments, as well as their overall IT environments,” said John Swainson, president of Dell Software. “We are addressing key needs for our customers, helping them leverage the cloud, support ‘bring-your-own-device’ in their enterprise, and deploy mobile applications and virtualization to drive improved business results. The addition of Quest Software into Dell’s software portfolio will extend our industry-leading suite of solutions to a broader range of customers and partners, while simplifying operations, maximizing workforce productivity and delivering faster results.”

    The $2.4 billion acquisition was approved by Dell stockholders at a meeting on September 25. Dell estimated a 2 to 3 cent dilutive impact on earnings per share in fiscal 2013 due to the purchase, and 4 to 5 cents in fiscal 2014.

    Dell estimates that the acquisition of Quest brings Dell 100,000 customers, 5,000 channel partners, and a “$1 billion-plus” annual software business. In addition, the company brings with it 1,500 sales and marketing employees, as well as 1,300 software developers.

    Today, Dell announced definitive plans to acquire end-to-end IT software provider Quest Software.

    The deal is all part of Dell’s most recent initiative to grow their enterprise solution portfolio and further distinguish their capabilities from those of their largest competitors.

    The acquisition will cost Dell $2.4 billion, and is expected to close by the end of Dell’s third fiscal quarter. Dell will pay $28.00 per share in cash for each share of Quest.

    Here’s a few examples of what Dell is inheriting with the acquisition of Quest:

    * The Quest One Identity and Access Management solution family adds to Dell’s very strong set of security assets with SonicWALL and Secureworks, creating a comprehensive set of security solutions to address important customer needs.

    * Quest’s Performance Monitoring solutions for applications, networks and databases address a rapidly growing need for our customers. Industry analysts have consistently ranked Quest Foglight as a leading application performance monitoring solution. Businesses of all sizes are looking to reduce their IT complexity and automate workloads for their IT departments. Customers worldwide leverage Foglight to continually monitor their IT environments, proactively identifying and remedying performance issues before they become bigger problems.

    * Quest’s Windows Server Management solutions complement Dell Services’ rapidly growing application modernization practice with recently acquired Clerity Solutions and Make Technologies.

    * Effective database management is critical to the successful operation of most organizations. Quest’s Database Management capabilities offer a strong complement to Dell’s enterprise offering. Today, millions of DBAs, developers, and analysts around the world rely on Quest’s database management tools to simplify their work.

    Quest was established in 1987, and is headquartered in Aliso Viejo, California. The company serves more than 100,000 customers around the World. They currently employ about 3,000 employees and operate 60 offices in 23 countries.

    Dell Looking Into Acquiring Quest Software Inc.

    Dell is one of several companies toying with the idea of acquiring Software developer, Quest Software, Inc. Quest develops software to help organizations manage databases and servers as well as designing recovery programs. Insight Venture Partners, a private equity and investment firm, offered to buy Quest back in March for $2 billion, but Quest has been examining their options.

    Quest would be a complementary addition to Dell’s ever-increasing and divers enterprise software solutions. In an effort to branch out from the consumer home computer business, Dell has acquired several software providers recently including Make Technologies, Wyse Technology, and Clarify Solutions.

    Quest shares have recently experienced a 5% lift, and there is much more investor interest. The company is currently valued at over $2.12 billion. Morgan Stanley is representing Quest for the sale and they have already had interest from BMC Software Inc, CA Inc, Microsoft Corporation, and Oracle Corporation, in addition to Dell.

    Dell has not commented on any dealings with Quest, but many experts expect Dell to put a bid in for Quest. We’ll keep you updated as new information becomes available.
